STANDARD TERMS AND CONDITIONS OF SALE AND SERVICE

These Terms and Conditions ("Terms") govern all sales, e-commerce transactions, subscriptions, and use of services provided by Tsop Tech Digital Solutions ("we," "us," or "our"). By accessing our website, purchasing our products, or subscribing to our services, the client ("you" or "Client") explicitly waives its own standard terms and conditions and agrees to be bound by these Terms.

1. Scope of Services These Terms apply to all interactions, sales, and software/digital service subscriptions facilitated through our website, customer relationship management (CRM) portals, and e-commerce platforms. Note: Internal employee policies, such as attendance, are governed by separate internal agreements and do not apply to external clients.

2. Subscriptions and Account Registration

  • Account Creation: To access certain features, including managing subscriptions via our CRM portal, you must register for an account. You agree to provide accurate and complete information and keep your login credentials secure. You are fully responsible for all activities that occur under your account.

  • Subscription Terms: Services billed on a subscription basis will auto-renew at the end of each billing cycle (e.g., monthly or annually) unless canceled in accordance with Section 3.

  • Acceptable Use: You agree not to misuse our services, reverse-engineer our digital products, distribute malicious software, or use our platform for any illegal activities. We reserve the right to suspend or terminate accounts that violate these rules.

3. Pricing, Invoicing, and Payment

  • E-commerce & Subscriptions: Payments for online subscriptions and e-commerce services are generally due upfront via our accepted payment gateways at the time of purchase or renewal. Prices are subject to change with a 30-day notice provided to active subscribers.

  • Standard Invoicing: For manually issued invoices, payments are due within twenty-one (21) working days unless another payment timeframe is indicated on the invoice or order.

  • Late Payments: In the event of non-payment by the due date, Tsop Tech Digital Solutions reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. We are authorized to suspend any provision of services without prior warning in the event of late payment.

  • Debt Recovery: If a payment is still outstanding more than sixty (60) days after the due payment date, we reserve the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.

  • Withholding Taxes: Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can Tsop Tech Digital Solutions become involved in costs related to a country’s legislation. The invoice amount will therefore be due to Tsop Tech Digital Solutions in its entirety.

4. Cancellations and Refunds

  • Cancellations: You may cancel your subscription at any time through your account dashboard or by contacting us at support@tsop.tech. Cancellations will take effect at the end of your current paid billing cycle.

  • Refunds: Unless required by law, all fees paid for digital services and subscriptions are non-refundable. We do not provide prorated refunds for partial months of service.

5. Data Protection and Privacy By using our services, you acknowledge that your personal and business data will be stored and processed in our CRM system. We are committed to protecting your privacy and handling your data in accordance with applicable laws (including the GDPR). 6. Limitation of Liability and Claims

  • Best Efforts: Tsop Tech Digital Solutions undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve specific results.

  • "As Is" Service: Digital platforms and subscriptions are provided on an "as is" and "as available" basis. We do not guarantee that our services will be completely error-free or uninterrupted.

  • Third-Party Claims: Tsop Tech Digital Solutions cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

  • Filing a Claim: In order for it to be admissible, Tsop Tech Digital Solutions must be notified of any claim by means of a letter sent by recorded delivery to its registered office within eight (8) days of the delivery of the goods or the provision of the services.

7. Governing Law and Jurisdiction All our contractual relations and these Terms and Conditions will be governed exclusively by Cyprus law. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Cyprus.
